Licensing Agreement
Grant of License Licensor hereby grants Licensee a non-exclusive, non-transferable, limited right to use the Materials solely for educational and training purposes within the organization that provided the training.
Restrictions
- Licensee shall not use the Materials for any commercial purposes or benefit outside the scope of the designated training program.
- The Materials shall not be copied, modified, distributed, or shared with individuals not affiliated with Licensee’s organization.
- Licensee shall not sublicense, transfer, sell, or otherwise convey the Materials to any third party.
Intellectual Property All intellectual property rights in the Materials are owned by Licensor. Licensee acknowledges that no ownership rights are transferred by this Agreement.
Term This Agreement is effective from the date of signing and will continue in effect until terminated by either party with thirty days written notice.
Acknowledgment By using the Materials, Licensee agrees to the terms of this Agreement.
Non-disclosure Agreement (nda)
Definition of Confidential Information Confidential Information includes all material, non-public, business-related information, written, oral, or otherwise, disclosed by Social Capital Builders to the Recipient.
Obligations of Recipient
- Recipient agrees to limit disclosure of Confidential Information within its own organization to its directors, officers, partners, members, employees, and/or independent contractors (collectively referred to as “affiliates”) who have a need to know and who have signed nondisclosure restrictions at least as protective as those in this Agreement.
- No part of the Confidential Information may be reproduced in any form or by any means without the written permission from Social Capital Builders.
Term This Agreement imposes obligations on the Recipient from the date of disclosure of any Confidential Information by Social Capital Builders for a period of [define term].
