Grant of License Licensor hereby grants Licensee a non-exclusive, non-transferable, limited right to use the Materials solely for educational and training purposes within the organization that provided the training.

Restrictions

• Licensee shall not use the Materials for any commercial purposes or benefit outside the scope of the designated training program.
• The Materials shall not be copied, modified, distributed, or shared with individuals not affiliated with Licensee’s organization.
• Licensee shall not sublicense, transfer, sell, or otherwise convey the Materials to any third party.

Intellectual Property All intellectual property rights in the Materials are owned by Licensor. Licensee acknowledges that no ownership rights are transferred by this Agreement.

Term This Agreement is effective from the date of signing and will continue in effect until terminated by either party with thirty days written notice.

Acknowledgment By using the Materials, Licensee agrees to the terms of this Agreement.
